Informed Consent & Research Use Agreement

This Informed Consent & Research Use Agreement (“Agreement”) constitutes a legally binding agreement between Avid Labs, a business name under which the seller operates (the “Seller”, “Avid Labs”, “we”, “us”, or “our”), and the purchaser, recipient, or end user of any products supplied by Avid Labs (the “Customer”, “you”, or “your”).

By accessing our website, placing an order, purchasing, receiving, possessing, or using any product supplied by Avid Labs, you acknowledge that you have read, understood, and agreed to be legally bound by this Agreement.

Purpose & Acknowledgement

• The Customer expressly acknowledges and agrees that all products supplied by Avid Labs are research chemicals intended solely for laboratory, analytical, or scientific research purposes.
• The Customer further acknowledges and agrees that Avid Labs products are not intended, labelled, marketed, or authorised for:
  •  Human consumption, administration, or injection; 
  • Animal or veterinary use;
  • Medical, therapeutic, diagnostic, preventative, or curative purposes;
  • Use in dietary supplements, pharmaceuticals, cosmetics, food, or recreational substances.
• The Customer acknowledges that Avid Labs products have not been evaluated or approved by Health Canada, do not carry a Drug Identification Number (DIN), Natural Product Number (NPN), or any other regulatory authorisation, and are not represented as safe or effective for any use in humans or animals.

No Medical or Therapeutic Claims

• Avid Labs does not make, endorse, suggest, or imply any medical, therapeutic, diagnostic, or health-related claims regarding its products.
• Any technical, scientific, or chemical information provided by Avid Labs (including molecular data, purity results, analytical reports, or references to published literature) is provided solely for informational purposes and shall not be construed as instructions for use, dosing, administration, or application.
• The Customer agrees not to rely on Avid Labs for medical advice, treatment guidance, or health-related decision-making.

Customer Representations & Legal Compliance

• The Customer represents and warrants that:
  • They are at least the age of majority in their jurisdiction of residence;
  • They are legally permitted to purchase, possess, and use research chemicals for lawful research purposes;
  • They will use the products strictly in compliance with all applicable municipal, provincial, federal, and international laws and regulations, including, without limitation, the Food and Drugs Act (Canada) and its regulations. (If applicable).
• The Customer agrees not to resell, transfer, distribute, repackage, relabel, or otherwise supply Avid Labs products to any third party for any prohibited or unauthorised use.

Assumption of Risk

• The Customer expressly acknowledges that research chemicals may involve unknown, unpredictable, or hazardous properties, and that risks associated with their handling, storage, use, or disposal may not be fully characterised.
• The Customer voluntarily and knowingly assumes all risks, whether known or unknown, associated with the purchase, receipt, handling, storage, transportation, use, or disposal of Avid Labs products.

Indemnification

• To the fullest extent permitted by applicable Canadian law, the Customer agrees to indemnify, defend, and hold harmless Avid Labs, the Seller, and any owners, operators, agents, contractors, or affiliates from and against any and all claims, demands, damages, losses, liabilities, penalties, fines, costs, and expenses (including legal fees on a solicitor-client basis) arising out of or relating to:
  • Misuse or unauthorized use of the products;
  • Any violation of applicable laws or regulations by the Customer;
  • Personal injury, property damage, contamination, or alleged adverse effects resulting from the products;
  • Any representation, conduct, or use inconsistent with this Agreement.

No Warranties

• All products are supplied “as is” and “as available”, without warranties of any kind, whether express, implied, statutory, or otherwise.
• Without limiting the foregoing, Avid Labs expressly disclaims any implied warranties of:
  • Merchantability;
  • Fitness for a particular purpose;
  • Accuracy, completeness, or reliability of chemical or analytical data;
  • Stability, shelf life, or suitability for any application.

Limitation of Liability

• To the maximum extent permitted under applicable Canadian law, Avid Labs shall not be liable for any direct, indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to the purchase, possession, handling, storage, use, or disposal of its products.
• In no event shall the total aggregate liability of Avid Labs exceed the amount actually paid by the Customer for the specific product giving rise to the claim.

Order Acceptance & Restrictions

• Avid Labs reserves the right, at its sole discretion, to:
  • Refuse, cancel, or limit any order;
  • Request additional documentation to verify research intent or legal compliance;
  • Decline sales to any individual, organization, or jurisdiction where such transactions may present legal or regulatory risk.
• Placement of an order does not constitute acceptance. Acceptance occurs only upon shipment.

Governing Law & Jurisdiction

• This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
• The parties irrevocably attorn to the exclusive jurisdiction of the courts of the Province of British Columbia for any dispute arising out of or relating to this Agreement.

Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, such provision shall be severed, and the remaining provisions shall continue in full force and effect.

Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to the subject matter herein and supersedes all prior or contemporaneous agreements, representations, or understandings.

Customer Acknowledgement

• By purchasing, receiving, or using products supplied by Avid Labs, the Customer confirms that they:
• Have read and fully understood this Agreement;
• Accept full legal and financial responsibility for their actions;
• Agree to be legally bound by all terms and conditions herein.
